This document is a public offer by Uglava & Azones Intelligence LLC, company code / tax number 46023605, with registered and actual address at 44 Antonovycha Street, Kyiv, 03150, Ukraine, to enter into an agreement for information, consulting and training services on the terms below.

A person purchasing services is the Customer. The person actually attending the training is the Participant. The Customer and Participant may be the same person.

1. TERMS AND DEFINITIONS

The Offer is this document and its expressly incorporated annexes and rules. Acceptance is the Customer’s full and unconditional agreement through the actions specified below. A Course is a set of OSINT or related learning activities and digital materials delivered live, in person, through recordings, written content, assignments, consultations or a combined format. OSINT means lawful research and analysis using open and legitimately accessible sources.

2. GENERAL PROVISIONS AND STATUS

The Offer contains the material terms of a service agreement and operates as a contract of adhesion. It is published at https://academy.uglavaazones.com/en/public-offer. The version in force at the time of Acceptance applies to the Customer. The relevant course page or individual invoice forms part of the Agreement and governs the program, price, format, dates, access period and included services for that Course.

3. SUBJECT OF THE AGREEMENT

The Provider supplies information, consulting and training services in OSINT under the selected Course, while the Customer accepts and pays for paid services. Course parameters are stated on the Course page. Services are educational and informational and do not constitute individual legal, audit, investment, medical or other regulated professional advice unless expressly agreed in writing.

4. DELIVERY OF SERVICES

Services are delivered electronically in the format and on the dates stated on the Course page, normally using Kyiv time. No physical goods are sold and no physical delivery is provided. The current cohort of the Fundamental OSINT Course: From Digital Footprint to Legal Admissibility of Evidence starts on 15 September 2026. After successful payment through WayForPay, the Customer receives an electronic confirmation and/or access instructions using the contact details supplied during registration. For payments made before the current cohort starts, platform access or access instructions are provided no later than 15 September 2026; for payments made after the Course has started, no later than one business day after successful payment is confirmed unless the Course page states a shorter period. The access period for recordings and materials is disclosed on the Course page, order form or electronic confirmation before Acceptance. A postponement of the Course start date by more than 7 calendar days is treated as a material change and the Customer may accept the new date or exercise the cancellation/refund rights below.

5. CONCLUSION AND ACCEPTANCE

The Agreement is concluded electronically. Acceptance may consist of completing a registration or order form and agreeing to the Offer, paying through the offered payment method, confirming with a one-time identifier or sending an electronic acceptance where that method is provided. The Provider sends an electronic confirmation after a valid Acceptance.

6. PROVIDER RIGHTS AND OBLIGATIONS

The Provider must deliver the agreed services, disclose accurate course information, provide access, comply with consumer, data-protection and copyright requirements, and consider requests and complaints. The Provider may use qualified teachers and contractors, update materials, moderate learning spaces and restrict unlawful, unsafe or seriously disruptive conduct.

7. CUSTOMER AND PARTICIPANT RIGHTS AND OBLIGATIONS

The Customer may receive the services and information specified in the Agreement and exercise applicable consumer rights. The Customer must pay on time, provide accurate details and protect access credentials. Participants must follow course rules, academic integrity, confidentiality, platform rules and lawful OSINT practices, and must not use the Course for unauthorised access, stalking, extortion, discrimination or other unlawful activity.

8. PRICE AND PAYMENT

The price of each Course is stated on its Course page or invoice and is fixed for the Customer at Acceptance. The displayed price is the final amount payable by the Customer; VAT and other taxes apply according to the Provider’s current tax status and are reflected in payment or fiscal documents where required. Website payments are made in Ukrainian hryvnia through WayForPay by payment card and/or other payment methods enabled by the Provider and shown on the payment page before confirmation. Payment is complete once WayForPay confirms the transaction. Payment by separate invoice is available only where expressly offered by the Provider.

9. WITHDRAWAL, CANCELLATION AND REFUNDS

A consumer may have a statutory fourteen-day right to withdraw from a distance contract, subject to the conditions and exceptions provided by Ukrainian law. Cancellation and refund requests must be sent to [email protected] and should identify the Customer, Course, contact details, payment date and amount, payment method and, where available, the WayForPay transaction identifier. The detailed Refund Policy is published at https://academy.uglavaazones.com/en/refund-policy. Before the Course begins and before digital materials are made available, the Customer may request a full refund unless mandatory law provides otherwise. Where performance or digital access has already started at the Customer’s request, statutory rules and the value of the part actually supplied are taken into account. Refunds for WayForPay payments are initiated through WayForPay and normally returned using the same payment method. The Provider initiates an approved refund within 14 calendar days after receiving sufficient payment-identification information; the actual crediting time depends on the bank and payment system. If the Provider cancels the Course before it begins, the Customer may choose a full refund or transfer to another Course.

10. QUALITY, ACCEPTANCE AND COMPLAINTS

Services must correspond to the Course description and information supplied before Acceptance. Where access is technically unavailable due to the Provider, the Provider will take reasonable steps such as restoring access, providing an alternative, rescheduling or supplying a recording. Quality, scope, support and complaint requests should be sent to [email protected] with a sufficient description and available evidence.

11. INTELLECTUAL PROPERTY

Intellectual-property rights in learning materials remain with the Provider, authors or other rightsholders. Participants receive a limited, non-exclusive and non-transferable licence for personal learning during the access period. Sharing credentials, publishing, selling, mass copying, removing attribution, bypassing protection or recording live sessions without permission is prohibited except where law expressly permits.

12. CONFIDENTIALITY, ETHICS AND LAWFUL OSINT

Non-public information shared in a closed learning environment must remain confidential. Participants may not publish chats, recordings, contact details, images or statements of others without a valid legal basis. Real cases containing personal data should be anonymised where possible. Course methods are intended for lawful purposes such as verification, journalism, compliance, Due Diligence, cyber security, corporate security and research.

13. PERSONAL DATA, RECORDINGS AND COMMUNICATIONS

Personal data is processed to conclude and perform the Agreement, identify payments, create accounts, organise learning, provide support, issue certificates, maintain records and protect rights and platform security. Details are governed by the Privacy Policy at https://academy.uglavaazones.com/en/privacy-policy. Live sessions may be recorded after notice. Public use of a Participant’s name, image, voice, testimonial or work requires separate consent.

14. LIABILITY

The parties are liable for non-performance or improper performance under the law and the Agreement. The Provider remains responsible for its own actions and those of persons engaged to deliver services, subject to lawful limitations. The Provider is not responsible for failures caused by the Customer’s equipment, connectivity or independent platforms where reasonable recovery or alternative-access measures are taken.

15. FORCE MAJEURE

A party is excused from liability where it proves that performance was prevented by extraordinary and unavoidable circumstances arising after conclusion of the Agreement. These may include hostilities, attacks, evacuation, extended infrastructure outages, fires, natural disasters, government measures or major cyberattacks where a causal link exists. The affected party should notify the other without undue delay.

16. TERM, AMENDMENT AND TERMINATION

The Agreement takes effect upon Acceptance and continues until obligations are completed. The Provider may amend the Offer for future orders by publishing a new version. Existing agreements are not made less favourable without consent except where required by law or where changes do not affect material rights. Serious misconduct may lead to termination after warning where appropriate.

17. DISPUTES AND GOVERNING LAW

The Agreement is governed by the law of Ukraine. The parties seek to resolve disputes through negotiations and written or electronic claims. Unresolved disputes may be submitted to a competent Ukrainian court, without limiting mandatory consumer rights.

18. FINAL PROVISIONS

Electronic records, payment documents, platform logs and communications may evidence conclusion and performance of the Agreement. Invalidity of one provision does not invalidate the remaining provisions. The Ukrainian-language Offer is the controlling legal version.
